To begin consulting services with Madera, the following process applies:

Initial Consultation: We offer an initial consultation to assess your needs and discuss the scope of services. This may be conducted via phone, video, or in person.
Agreement: Once the scope of services is agreed upon, a written contract outlining deliverables, timelines, and fees will be issued. Both parties must sign the contract before any work begins.
Service Delivery: We will deliver services as per the agreement. Regular communication will occur to ensure client satisfaction and alignment on goals.
4. Fees and Payments
4.1 Payment Terms
All fees for consulting services will be outlined in the service agreement. Payment terms may vary depending on the nature and duration of the project. You agree to pay the fees as specified in the invoice or contract, in accordance with the agreed payment schedule.

4.2 Payment Methods
We accept payments via bank transfer, credit card, or other methods agreed upon between you and Madera. Any applicable taxes or fees will be added to the invoice.

4.3 Late Payments
In the event of late payment, Madera reserves the right to suspend services until the outstanding amount is settled. Repeated late payments may result in the termination of our agreement.

5. Confidentiality
5.1 Client Confidentiality
Madera Consulting takes client confidentiality seriously. We will not disclose any sensitive business information or personal data shared during the course of our engagement without your explicit consent unless required by law.

5.2 Non-Disclosure Agreement (NDA)
Depending on the nature of the engagement, both parties may agree to enter into a separate NDA to ensure the protection of proprietary information.

6. Intellectual Property
6.1 Ownership of Materials
Any materials, documents, or intellectual property developed by Madera during the consulting engagement remain the property of Madera unless otherwise agreed upon in writing. You may use these materials only for the purposes specified in the agreement.

6.2 License to Use
Madera grants you a non-exclusive, non-transferable license to use the deliverables for your internal business purposes. You may not distribute or share these materials with third parties without prior written consent.

7. Termination
7.1 Termination by Client
You may terminate the consulting agreement at any time with written notice. Upon termination, you are responsible for any fees or payments due for services rendered up to the date of termination.

7.2 Termination by Madera
Madera reserves the right to terminate the agreement if:

You fail to comply with these Terms.
Payment is overdue by more than 30 days.
There is a breach of confidentiality or intellectual property rights.
Upon termination by Madera, any outstanding fees for services provided will be due immediately.

8. Limitation of Liability
Madera Consulting is committed to delivering high-quality consulting services. However, we cannot guarantee specific outcomes or business results. By using our services, you acknowledge and agree that:

Madera will not be liable for any indirect, incidental, or consequential damages arising from the use of our services.
Our liability for any direct claims is limited to the total fees paid for the specific consulting engagement in question.
9. Dispute Resolution
If a dispute arises between you and Madera, both parties agree to attempt to resolve the issue through good faith negotiation. If the dispute cannot be resolved, it may be submitted to mediation or arbitration, as agreed upon by both parties.

10. Changes to Terms
Madera reserves the right to update or modify these Terms at any time. Any changes will be effective upon posting on our website. It is your responsibility to review the Terms regularly. Continued use of our services after any changes constitutes acceptance of the revised Terms.

11. Governing Law
These Terms are governed by and construed in accordance with the laws. Any legal proceedings arising out of or related to these Terms shall be brought exclusively in the courts located within that jurisdiction.
